1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the OneVolt platform ("the Platform"), operated by Mariba Holdings (PTY) LTD ("we", "us", "our").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Platform.

By using the Platform, you confirm that you meet these requirements.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activity under your account
You must provide accurate and complete information
You must notify us immediately of any unauthorised access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Services Provided

The Platform provides tools for job and project management, invoicing, document management, reporting, and related business operations.

The Platform is provided "as is" and "as available", without warranties of any kind.

5. Subscriptions, Billing and Payments

5.1 Subscription Plans

The Platform operates on a freemium and paid subscription model.

5.2 Payments

Payments are processed via third-party providers, including PayFast and PayPal.

5.3 No Refunds

All payments are non-refundable, including subscription fees and renewals.

5.4 Failed Payments

If a payment fails:

A grace period of 3 (three) days will be granted
After the grace period, your account may be downgraded, restricted, or suspended

5.5 Cancellation

You may cancel your subscription at any time
Access to paid features will continue until the end of the current billing cycle

5.6 Pricing Changes

We reserve the right to change pricing at any time, with reasonable notice to users.

6. User Responsibilities

You agree to:

Use the Platform in compliance with all applicable laws
Ensure that all data uploaded is lawful and authorised
Maintain the security of your account
Not misuse, abuse, or attempt to disrupt the Platform

7. Prohibited Use

You may not:

Use the Platform for illegal or fraudulent activities
Upload malicious code or harmful content
Upload personal data without proper consent
Attempt to gain unauthorised access to the system
Interfere with the operation or security of the Platform

8. Data and Content

8.1 User Data Ownership

Users retain full ownership of all data uploaded to the Platform.

8.2 Our Role

We act solely as a processor of user data and do not assume responsibility for the content or legality of such data.

8.3 Responsibility for Data

You are solely responsible for:

The accuracy of your data
The legality of your data
Obtaining necessary consents

9. Intellectual Property

All rights, title, and interest in the Platform, including its software, design, branding, and content, remain the property of Mariba Holdings (PTY) LTD.

You may not:

Copy, modify, or distribute the Platform
Reverse engineer or attempt to extract source code

10. Service Availability

We do not guarantee that the Platform will be:

Uninterrupted
Error-free
Secure at all times

We may suspend or modify the Platform at any time without notice.

11. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for any financial losses, including errors in invoices, transactions, or business decisions made using the Platform
We are not liable for data loss, although we take reasonable steps to prevent it
We are not liable for indirect, incidental, or consequential damages

Our total liability is limited to the amount paid by you for the Platform in the 12 months preceding the claim.

12. Indemnity

You agree to indemnify and hold harmless Mariba Holdings (PTY) LTD from any claims, damages, losses, or liabilities arising from:

Your use of the Platform
Your violation of these Terms
Your data or content
Any claims by third parties related to your use of the Platform

13. Third-Party Services

The Platform integrates with third-party services (including payment processors and hosting providers).

We are not responsible for:

The performance of third-party services
Any loss or damage arising from their use

14. Termination

We may suspend or terminate your account at any time, without notice, if:

You violate these Terms
You misuse the Platform
We are required to do so by law

15. Privacy

Your use of the Platform is also governed by our Privacy Policy.

16. Governing Law

These Terms are governed by the laws of the Republic of South Africa.

Any disputes shall be subject to the jurisdiction of South African courts.

17. Changes to Terms

We reserve the right to update these Terms at any time.

Continued use of the Platform constitutes acceptance of the updated Terms.
